ABC PVT LTD Has two Director i want to remove that two director and add another two so can i file only 1 form 32 in roc or i have add first and the remove . it means i have file 2 time 32form or not

You will need to file two Form 32. You can not file resignation of two and appoint two directors at the same time since there are only two directors in the board. So first file form 32 to appoint two directors and then file another form 32 for resignation of two directors.

In my Opinion one Form 32 will do. First enter the details of the Directors to be appointed and then fill the details of directors to be resigned.
