Director's resignation

I seek comments on below:

Is the communication on emails between Director's of a private limited company admissible in the court of law ?

Is confirmation of acceptance of resignation of an additional director from Board by MD in a private limited company via email amounts to acceptance of resignation from Board ? (Though company has neither passed any board resolution and nor filed FORM 32 even after repeated requests to do so)

Any remedy other than to file a complaint with ROC !!
