How many director appoint in one AGM of the company and what is maximum director appoint in private or public company?

A company may have upto 12 Directors for the appointment of more than 12 directos the Company needs the permission of the Central Government.

 

A director may be a director in maximum 15 Companies.

As per Section 259 of Companies Act , A public limited Company or a private company which is a subsidiary of a public company, may have 12 Directors , to increase number of Directors beyond 12 Approval From Central Government is required.
 


There is no such Limit in case of Private Company, As Section 259 of Companies Act does not apply to Private Limited Companies, in case of Private Limited Company, maximum number of directors is governed by Articles of the Company

The maximum number of Directors mentioned above can be appointed in the AGM but ensure that the limit set in the Companies Act is not exceeded.

Ya there is no such limit, however for the appointment of every director, separate resolution must be passed. No appointment of more than one director to be done in single resolution.

As per my Understading , for more than one director appoint in AGM , befor AGM resolution passed in meeting with 100% vote by members.

daval u r wrong. there is no such limit to appoint the directors in one agm. but as sir said each appointment much precedes a separate resolution and thus all directors cant be appointed by single resolution untill 2 conditions are not fulfilled:

a)there must be a resolution which states that the appointment can be done by passing single resoultion

b) there must be unanimous resolution for the above case.

 

Absolutely right, the above provision of section 263 is to be kept into mind.
