than will he count 1 or 2 in quorum

or he will give 1 or 2 vote in B.M

for ex:- mr ram and sobhit are directors in public co.
mr sobhit died and casual vacancy has arise in such comp.
later on mr ram has appointed in casual vacancy in the place of sobhit


question is
in board meeting will mr raam count as 1 or 2
and will he give 1 or 2 vote in such BM
