can board of director apoint rotational director in case of casual vacancy....please give valuable answers thankd

Proviso to Sec.161(4) of Companies Act 2013 [corresponding to Section 262(2) of Companies Act 1956] provides that a director appointed by the board to fill casual vacancy will hold office upto the date upto which the director in whose place he is appointed would  have held office it the office had not been vacated.  Such director should therefore be appointed as a regular director liable to retire by rotation in members meeting.  Till such time, MCA site will continue to show such directors as directors appointed to fill casual vacancy.

 

Sir but rotational director can only be apointed by shareholder in general meting and casual vacancy is filled by board and board do not have power to apoint rotational director i agree that tenure will b exactly same but i think nature of director will vary...
