MY DEAR IN COMPANIES ACT  THERE IS NO DIFFRENCIATE

In case of Inadequate profits or no profits with negative effective capital ,can a public limited company still pay director's remuneration to the minimum of Rs.75,000/-

If he is to be appointed as MD or Whole time Director then he should be a resident with in the meaning of Schedule XIII. Otherwise Central Governmnet permission is required. No restrictions in case of ordinary Directors.

If he is to be appointed as MD, i)ask him to come and take up employment in India so that he becomes a resident as per Schedule XIII other wise get CG permission . ii)MD agreement not to exceed 3 years to enable full repatriability of salary as per FEMA
