Dir-12 for cessation due to death

Director of a Pvt. Ltd. Company died in the year 2014, however the company didn't file DIR-12 for cessation as officialy the company had not received death certificate from heirs.

Today the company have received death certificate officially and now wish to proceed for filling of DIR-12 by taking a condolence meeting. the query is: -

What should be the effective date of cessation in board meeting i.e. death of death of director or the date of board meeting as if the company takes the date of death i.e. year 2014, the company will go through huge additional fees for filling of DIR-12.

Pls suggest
