there are 2 directors in pvt. Ltd.
from which one director want to resign from company.
whether his resignation is subject to approval of board ?
or he can resign with filing dir-11???
plz answer for this..

Hi Ritu,
Before Resigning that director you need to make an appointment of any other director in his place as requirement of minimum 2 director needs to be fulfilled than you have to conduct an egm where appointment of director is to be made and then file Dir-12 for appointment of director by company and Dir-11 is optional now a days which is to be filed by director. hope it sorted your query.
we r from director's side doesn't matter what will happen to company..

Then its up to your director whether he wants to file Dir-11 or not as it is optional. And it a good practise if you file dir-11
