Digital signature

342 views 2 replies

Now a days all the documents are affixed digital signatures of directors. These documents are then uploaded on MCA through eforms. Moreover the directors sometimes dont get to see the documents on which their DSCs are affixed because it can be a routine letter or a resolution that is drafted by professionals. But I feel all this can be risky and that the directors should be aware of how their DSCs are being used.

Is it necessary to get actual (handwritten) signatures  of the directors on the documents/letters/resolutions on which DSCs have been affixed and keep a record of it in the office??

Dear Sayali,

There is no mandatory requirement to keep a record of hand written signatures of directors of the company. As you are aware  that since the commencement of MCA 21 for the proper transparency of efiiling of various forms, digital signatures has been made mandatory .So when forms are filed using DSC of the concerned person it is presumed that the concerned person has duly verified the form. Moreover DSC's come with password to ensure the security of the certificate.

Dear Arjun, Yes i agree with you, however the passwords are also shared.
