Can a public limited company(not listed on any exchange) issue shares at premium.?
and same for private company as well
According to me yes it can, but it has to pass a resolution for the same and also obtain a share valuation certificate from a C.A.

Cannot understand why share valuation certificate is required. Can You please enlighten on the same with any relevant provisions for the same. Thanks
