Can anyone tell me in demerger whether the resulting company should be newly incorporated or should be in existence from earlier period?

Resulting Co can be either be a newly incorporated company or a company in existence from earlier period.
Preferably, the reulting co (newly incorporated company) shall come into existance (incorporated) before filing the Scheme of demerger with the High Court.
Thanks for the reply virag... But an advocate had told me that the resulting company should be incorporated at least six months before the demerger.
