yes, there is major amendment regarding this in law also, you will see in many places they have said public listed company, there are many pvt.co.issue debentures on private placement basis and they listed on NSE, BSE...amendment in sec.149,177,178 have exempted these co.from forming Audit committee, nomination and remm committe, also not require to appoint independent directors...see they have substituted listed co. with word "listed public co."
