My friend want to start a Private limited company, He wants to raise money through issue of debentures. So please advice me what is the procedure for issue of Debentures and the manner of issue and relevant provisions in Companies Act

Section 2(12), and from section 117 to 118 deal with issue of debentures. Section 292 and section 81(3) of The Companies Act, 1956 also deal with the same.
you should issue debenture otherthan unsecured non convertible because it amounts to deposit
