Appoint a new director in place of the person deceased as an Additional Director. After the Form 32 gets approved, file the Form 32 to record the death of the deceased director.
Alternatively, File single Form 32 in which you appoint a new director in casual vacancy caused by the Death of the existing director.
thanks for your reply but my doubt is if I file one form 32 and appoint the director due to casual vacancy caused by the death of one of the director how to convene a board meeting to as there will be no quarum as only one director will be there
Dear Rajeev,
In your case a additional director is to be appointed only for completing the quorum. For such appointment 1 director shall constitute valid quorum. He can not do any other act. Then you can appoint other director. Then after you may or may not regularise him.
There is a specific case law in this regard. If anyone can quote?
