Csr in private companies

as we know that any company who fulfills criteria of section 135 needs to constitute csr committee. suppose in case if any private company comes under such criteria and have only 2 directors in board then, is it mandatory to appoint independent director and constitute csr committee or is there any other way!!. please give guidance respected professionals..
