Quick Summary
This discussion centres on whether a company's Board of Directors can delegate the authority to approve CSR expenditure. While CSR expenditure typically requires CSR Committee recommendation and Board approval, the consensus suggests the Board can indeed delegate this power. This delegation must be formally resolved during a Board meeting and the resolution filed with the Registrar of Companies (ROC). Although specific provisions for CSR expenditure delegation aren't explicitly detailed, general provisions regarding Board delegation and ordinary business as outlined in the Articles of Association (AOA) can be applied.
There is no such provision for this .. But Applying the Relevant section of General meeting and considering this as Ordinary course of business( as it is written in the AOA and if authorise to do so) It can be done in Meeting! there is no such provision regarding to this
