CSR expenditure
CSR expenditure has to be recommended by CSR Committee and approved by Board; however, can board delegate this authority to approve CSR expenditure.

Yes Board Can delegate this authority by passing a OR in Board Meeting ragarding this and Resoulton has to be submit to ROC as well

I meant pls share relevant provisions w.r.t delegation of authority by Board for CSR expenditure
There is no such provision for this .. But Applying the Relevant section of General meeting and considering this as Ordinary course of business( as it is written in the AOA and if authorise to do so) It can be done in Meeting! there is no such provision regarding to this
