abc ltd. took a loan of rs. 10 lacs from a bank against the shares of promoter ( held in demat form). i want to know whether the company is liable to file form 8 with roc. its urgent.

No, Form 8 is to be filed for charge created on company's property. Since shares are not company's property, no charge is required to be registered.
