Correction of pvt limited company name.

Dear All,

We had a company under the name and style of “The Calcutta Land Trust Limited” which was duly registered with the ROC in 1931. Recently in 2012 the company was converted into a Private Limited company and fresh certificate of incorporation was issued by the ROC omitting the word “THE” by mistake / omission at any point.

However we have continued with the word “THE” till now with all our record including bank account, name in our stationeries including in our Annual Report which was filled with the ROC without any remark or notes so far.

Kindly clarify what needs to be done now to incorporate the word “THE” before the name of our Company as aforesaid. To our opinion this amounts only to correction of a mistake which occurred during conversion to a private limited company and this is not a case of change of name.

As far as i know, u/s 35, the certificate you received is a conclusive evidence and you cannot challenge it on any grounds regarding its correctness about  ANY details. so, IT IS indeed a case of change of name. even if it is the mistake of the ROC, you need to follow the procedures of change of name.
