Agenda not required, but as a part of good secretarial practice and importance of board meeting, agenda to be mentioned!

As per act no reference, as per secretarial standards required. We can say for good secretarial practice include agenda.

What about first question ? CFO shouldn't be internal auditor isn't it, as he is KMP and they have entirely diferent/ possibly conflicting functions.

Yeah. I wrote, it would demean the internal audit function, since it wouldnt be free of the company as company will have influence over internal auditor

internal auditor can be an employee of the organization... so he can be an internal auditor.. I wrote this. 😑
