What is the shortest and economical way to convert a two director pvt. ltd. (one indian and one non-indian director) into one director company? Will simply resigning help? Or Any specific ROC/corporate procedure has to be followed?

Do you mean to convert the private company into one person company?
just resigning will not help, you need to follow procedure to convert the private company into one person company and file relavant forms with ROC. get certificate of convertion from ROC.
