Conversion of pref shares

Yes, it is possible.

Option-I:

Pass special resolution u/s 106 in class meeting for variation of rights  of shareholders.

Option-II:

Prepare scheme of arrangement u/s 391-394 providing for such conversion  and get the same approved by High Court.

No need of high court approval if holders of 3/4 th of the issued shares of that class give their consent
