Conversion of Firm into Limited Company

Hi

1. Can anyone provide me the specimen of partnership deed to be executed for conversion of Partnership firm into limited company under  Section 565 to Section 581 under Part IX of the Companies Act, 1956.

2. Whether MOA & AOA of such company is chnage from general MOA & AOA. if yes pls provide the specimen of the same also. pls provide as early as possible because it is urgent.
