Consolidated Share Certificate

A Private Company had many transfers of shares within the family members. However, there is no proper track of the share certificate nos. issued to the transferees. The shareholders of the Company were brought down to 4 and one consolidated share certificate was issued to each of them bearing different distinctive numbers.

No details are available about the original share certificate no. We only have the distinctive numbers. We need to issue the consolidated share certificate for a set of 10 distinctive numbers held by each shareholder. Can we mention as per Annexure 1 against distinctive numbers in the new consolidated share certificate and attach the sheet to the share certificate?

Is this sufficient compliance for issue for consolidated share certificates?

It is advisable to mention distinctive numbers on the face of share certificate. In case space provided is not.enough then, an additional sheet can be attached and reference should be mention on the share certificate mentioning that an additional sheet is attached.

Also, in your case a consolidated share certificate is issued therefore reference of the previous share certificates should be given.
