Conditions for F.5 in case of Inc. Capital with Pref. Shares

Dear All,


Please guide me in the following case.

In One Pvt. Ltd. Co., There is an increment in Autho. share capital for preference Shares. I have query that what should i write the Conditions in Point no. 7 in Form-5 for increase autho. capi. for 9% Redeemable Preference Shares.

In point no 7 mention the condition on which you are going to issue preference shares. like voting right, dividend right. Mention the terms for the issuance of redeemable pre.shares.

In point no.7 of Form -5 says that condition subject to which preference shares are issued, i will suggest you to wtite the condition which given in resolution passed in general meeting for issue of such shares.

In point no.7 of Form-5 you should mention the conditions regarding the----

@ voting rights,

@ dividend rights,

@ winding-up rights, etc.)

subject to which new shares have been issued.
