One company has been converted from Public Limited Company into Private Limited Company in October 2011.
 
For preparation of Compliance Certificate, how do we have to prepare ?
As per Private Limited Company or as per Public Limited Company or by merging both ?

New Compliance Certificate have to be prepared by keeping in mind provisions applicable to both Status. 

 
Eg. We have to write like "till Conversion of the Company into private Company, the company complied with provision of 295. After conversion, as the Company become private company provision of section 295 does not apply."
 
BY that way we can comply with all requirement of Compliane Certificate.
