I have been viewing your valuable opinions. First I would like to thank you for the same.

Kindly give suggest me on this issue. “ Q.1- Can a Private limited Company(registered in India) which is 100% subsidiary of foreign Company (incorporated outside India) issue debentures (via debenture subscripttion agreement, for 54 months) to its group Company, which is also incorporated outside India. Q. 2- Can these debentures be converted into shares. Q-3- If No- then what is the penalty for this, and procedure to rectify the above”
