A sick industrial company refused to register a transfer

deed for registration of transfer of shares from A to B. B

filed a petition before the Company Law Board under

section 111A of the Companies Act, 1956. Has the

Company Law Board jurisdiction to entertain the petition?

Dear Sir,

Am of the view that the Company Law Board has jurisdiction to entertain the petition under section 111A of the Companies Act 1956. Attached a file to support my statement. Kindly correct me if am wrong sir.

Dear Sir

If company having 2 director. In that one of them died and another Director want to appoint new directors and he want to hand over all business activity to new directors or else he want to resign or retire.

My Question is 1) what is the minimum  time bound to hand over.

2) what is the procedure to appoint 2 director and what type of resolution should be pass.

Please Answer my question.
