In case of Company having company audit and not having tax audit, is online submission of audit report as per new format necessary? If yes then how will the company audit report be uploaded ?

If there is no tax audit applicable there is no need to e-file audit report to income tax department, but as per companies act you will need to upload the audit report in form 23AC & 23ACA To MCA21 site.
In your case there is no need to submit audit report under co. Act to income tax.
