Closing pvt ltd company

Hello

I started company in 2009. We have not done any operation or transaction. We don't even applied for PAN and Bank a/c. Now I want close company in FTE Mode. I want know the procedure for closing company and If any tax/fine has to be made. How much CA will be charged for this?

As you said you didnot apply for a PAN which implies that you haven't filed any of your financials with IT dept or fulfilled any statutory liability so in this case you will be called as defaulting company and defaulting company is debarred from applying for FTE till you make the default good.

so first fulfill the requirements, u don't need a CA in this case.

While checking status from MCA..Its showing as

 

Company Status (for eFiling)  :  Active

what we have to do right now for closing it.

Section 484.of the companies act 1956 talks about voluntary winding of the company it states that (1) A company may be wound up voluntarily –(a) when the period, if any, fixed for the duration of the company by the articles has expired, or the event, if any, has occurred, on the occurrence of which the articles provide that the company is to be dissolved, and the company in general meeting passes a resolution requiring the company to be wound up voluntarily ; (b) if the company passes a special resolution that the company be wound up voluntarily. In your case we can consider Section 484(1) (b). The standard format will be in Rules for this chapter.

Prepare draft accounts of the Company and submit a letter to the ROC requesting him to order for strikking off the name of the company from ROC records enclosing these financials. Please give valid reasons for strikking off.

You will received ROC's letter to comply with the procedure of strikking off. Follow the FTE and you will get the company's name struck off from teh mca records. 

When i was into practice 3 years back,,i used to charge Rs. 20,000/- (alll inclusive). It may be a bit higher but not more than Rs. 30000 in range.
