charging someone with the responsibility of criminal in a pi

Dear Freinds,

I want to know whether it is possible to charge a particular person with responsibility of criminal in case of a private company.  I mean that if a suit is filed againt the comapany and it becomes necessary for the director to go to prison, then in such a case i want to know that whether the director charged with te responsibility for criminal is alone liable for going to  jail or all the directors will have to go jail.

plese tell me the whole procedures along with sections.
