first register your transfer then file the form for resignation of director after that file form for appointment and put the name of director in register of member .

File form 32 for the appointment of Mr. C and then File Form 32 for the resignation of Mr. B with the concerned ROC. Thereafter you have to proceed for register of share transfer by putting the entries in teh Share transfer deed and affixing the requisite share transfer stamps over the share transfer deed. Issu teh share certificate to the new share holder and then register the name of Mr. C as Director in Register of Director and in Register of Member as he is now the share holder of the company. At tiem of annual filing, record the transfer of shares in annual return.
