CHANGE OF DESIGNATION OF DIRECTOR TO MANAGING DIRECTOR

Hi, 

In a unlisted Public Company a Director change his designation from Director to Managing Director and for this Company filed MGT-14 with BR to ROC. Company pass OR in AGM for Shareholder Approval. So My Question is that OR Passed in AGM is also required to file with ROC in MGT-14?

Please suggest.

So, IF OR is required to be Filed than is it Filed under Section 196 ?
