Change of company name

Dear members,

On the change of company name, should the new letterhead of the company contain old name also under the new name of the company ?

I have heard that it is compulsory for the company to mention its old name on the letterhead for five years. Is it true ?

Dear Shriddhi,

It is only a good practice.

However, Listing agreement provides that;

"The new name along with the old name shall be disclosed through the web sites of the respective stock exchange/s where the company is listed and also through the EDIFAR web site for a continuous period of one year, from the date of the last name change".

Use new name in the manner below:

 

ABC Private Limited (Formerly known as XYZ private Limited).

 

It is indeed a good practice to use old name along with the new name though there is no compulsion in company law.

 

However for a listed company it is mandatory to follow the above practice for at least 3 years as desired by Listing agreements.

Hi fnds ,if d company wants 2 change d name ,its 4m pvt 2 public or public 2 pvt before conversion only we wil inform 2 banks nd stockexange operaters becaz they r d major one 2 any company after conversion nthg is required...its clearly mentioned in co's act 3(1)(iii) and 3(1)(iv)

Hi Anil - We wont speciintimate before name change, it is required after approval form concerned ROC, not even after special resolution for the same. Once overall procedure is completed, i.e. obtaining approval from authorities, intimation will start.
