Is the Change in Designation of Director a Special Business. If yes, is there a need to pass a resolution?
and if yes, whether Ordinary or Special Resolution? and is there a need to file that resolution in MGT-14?

It is a ordinary business and require to pass a ordinary resolution and it required to file form DIR-12 along with MGT-14.
