Dear Imram,
Yes, a foreigner can be appointed as Director by obtaining DIN without having PAN, refer sections 153 to 159 of the CA, 2013 and helpkit of Form DIR-3 and be shareholder of indian company by complying regulations stipulated under FEMA Act.
