A private limited company passed a board resolution. But they forgot to include the resolution into the minutes of the company There was no melafide intention of any director or any member behind this mistake.
What are the consequences/penalties for above mistake?
Can the mistake be ratified? If yes, how?
In the next meeting, raise the issue and change the minutes with the approval of all directors.
