Board meeting on a national holiday

A Board Meeting can not be called on a National Holiday(SS1: 1.2.2)

As per explanation to section 96(2) of the companies Act 2013, : National Holiday: means and includes a day declared as national Holiday by the Central Government.

There are three national holidays in IndiaIndependence Day on 15 August, Mahatma Gandhi's birthday on 2 October, and Republic Day on 26 January.

Board meetings are not barred to be held in abraod.

If such is the case, whether a Board meeting can be held outside India on any of the dates mentioned above?

On national holiday, if the company is registered in India then company cannot held board meeting...Then where the meeting to be held question will not arise.... So the above scenario will not be valid...

I agree with mohammad ji that Indian registered company cant hold BM on national holiday,

I just want to know that where it is mentioned that a company cant holds its BM on National Holiday. In SS it is mentioned but in Act the prohibition is only for Adjourned BM.

 

 

Secretarial Standards should be followed and accordingly a Board Meeting cannot be held on a national holiday.
