Board meeting compulsory?

There are only two directors in our pvt ltd company. And the company is sitting idle for couple of years now. I heard that it is mandatory to conduct AGM & Board meetings regularly. Is this valid in our case? What meeting only two people when then is no work?

I agree  that directors may have to take help of professionals for detailed and indepth analysis of company law provisions.  However, the points raised are the basic things which directors are supposed to be aware of while forming a company.  Company has a distinct legal identity from its shareholders and day to day affairs are managed by directors.  Even if the company is not functioning, 4 Board  meetings in a year are mandatory for all companies.  All companies have to  prepare their Balance Sheets and file with ROC every year after approval in AGM.

 

But there are no other shareholders apart from two directors. In that case what conent needs to be put in the BM & AGM? And do we need a print or a special register? Could you also specify in detail

even though directors and shreholders are same but law recognize then sepretaly and in this respect every company whether functining or not has to follow all provisions of law.
