The Auditor PQR Chartered Accountant were statutory Auditor of XYZ Pvt Ltd, resigned in the month of Aug 2013, can the company appoint another auditor ABC Chartered Accountant for conducting Audit for the FY 2012-13 in place of Auditor PQR who have resigned and can the new auditor ABC sign and submit the financial statements for the period 2012-13?

Your query is too late. If they had resigned in August, you should have appointed another auditor immediately by passing shareholders' resolution u/s 224(6)(a) of Companies Act 1956. We know that the last date of holding AGM is 30.9.2013 in which audited accounts have to be placed before the members for adoption. By this time Board should have approved the financials and notice for AGM should have been issued.

Can this be possible for appointing another auditor in the month of August as this being a pvt ltd company closely held, and showing appointment in the month of August for a new auditor and finalising the returns for the period 2013-14 might not be any issue, please advice if this can be feasible

Since this is a private limited company, you can do that in back date and get the accounts signed as on 31st August, 2013 for holding the AGM by the month end of September, 2013.
