A company came for 3 Year annual compliance. Which was Incorporated in May 2015. The issue is theay where not appoint any Auditor since IoC.
My question is there is any possibility to appoint Auditor via Special Resolution in EGM...? What is the penalty...?

as per section 147(1)
penalty on company minimum 25k max 25L
on officers imprisonment for 1 year or minimum 10k or max 1L or both with imprisonment or fine
appointment is possible through egm within 90 days if board fail to appoint
if any order imposing penalty is given to the company then company can go into apeal
