If private company in the notice of AGM shown re-appointment of the Existing auditor , but did not File form ADT 1 for auditor reapppointment for F.y 14-15 and Now company need to appoint another auditor in place of existing auditor for 14-15 ,then what is the procedure to be followed in such a situation
was the notice of agm filed with roc in any form say 23ac/23aca
yes it was filed as an attachment
procedure would be like this-
first file adt1 for the auditors whose re-apppointment has been made in the agm and ask that auditor give resignation and file adt3, appoint another auditor to file the casual vacancy.
what was the date of agm?
Date of AGM 30 was sep 2014
whether the new appointment will be made under section 140(1)
appointment of another auditor has to be made under sec 139(8).
But since thae date of agm is 30.09.2014 you havre to first go for condonation of delay for adt1 since 285 days has already elapsed.
