the stat. auditor of a govt. co. is appointed by the CAG.

As per section 619, in the case of an auditor appointed by the Comptroller and Auditor General of India, remuneration shall be fixed by company in general meeting or in such manner as the company in general meeting may determine.

CAG has no right to decide the remuneration of auditor appointed by him as per sec 224(8).
As per Sec 224(8), remuneration is decided as follows
If Auditor appointed
by AGM, and by CAG - Share holders will decide the remuneration
by CG. - CG will decide the remuneration
