Sec 177 whatever states its all about listed company...Also if pvt co is listing non convertible debentures....Pvt co would be deemed as listed co and sec 177 will be attracted to that deemed listed co and the provision of sec 177 has to be followed...so they will required to appoint one more director to form audit committee.
