Semon Ltd a strategic investor was introduced in Raybon pvt ltd. to bring a new tech. or investment. Tge investor wishes to protect its interests in the company through articles of association. My qs is how can it be done?? plz reply nyone

There is provision under section 5, regarding Entrenchment of Articles to protect the interest of shareholders or promotors of the company by incorporating strict procedures in AOA regarding some business transactions.

Yeah. Refer sec 5 for that matter. As far as protection of interest of shareholders, it is one of the way as I knew.

For private companies,
To entrench articles, it requires Consent of all shareholders (Unanimous resolution by SHs)
