A Listed Co. has changed the designation of an executive Director to a Whole Time Director, to constitute its KMP under section 203. This change in Directorship should be done by filling DIR 12 and simply changing the designation or the Company has to comply with the provisions of Section 196,197 of the Companies Act, 2013 and file MR 1 for the WTD?

You need to comly with section 196,197 and schedule V and you need to file MGT-14(BR/Agreement appointing WTD) and DIR -12 for change in designation within 30 days of BM in which designation is changed and appointed as KMP and MR-1 within 60 days of appointment.
