In my view,  MD cannot be appointed by Circular Resolution. It has to be through BM.

Please refer Section 316 (2) / 386 (2) for reference relating to MD.

Only Additional Director / Alternate Director can be appointed in case of urgency through Circular

Resolution.

Santosh  is correct.....for more clarification you can refer SS-7 mentioning the business that cannot be transacted by circular resolution..
