Appointment of Director in Private Ltd

Hello,

In case of Pvt Ltd having only two directors.
What procedure to be followed to appoint a new director in case of one of directors died?
Due to death directorship of company goes below the minimum requirement of two directors as prescribed in Companies Act, 2013.

Thanks in advance.

Quick Summary
If a private limited company with only two directors faces a vacancy due to a director's death, it falls below the minimum requirement of two directors as per the Companies Act, 2013. The company must appoint a new director to fill this casual vacancy. This appointment typically requires passing a resolution and should ideally be completed within 30 days. While members can appoint directors in certain situations, private companies should also refer to their Memorandum and Articles of Association for specific procedures.
