Appointment of director in place of another director

It will not come under section 313. You can appoint him as additional director and after that regularise or not regularise him as per the need.

We don't want to appoint him as Additional director. there is some management dispute in the company and we want to appoint Mr. M in place of Mr. R (father of M) who is unwell.

so is there any other provision of law through which we can appoint Mr. M in the company and that too in place of Mr. R only.
