Appointment of director

Can a Company directly appoint a Director in an AGM of the company without taking prior notice u/s 257 of Companies act ?????//

if a company suudenly wants to appoint a director on the day AGM then can Company appoint a Additional director in the Board Meeting which will held for example 10.00 am on 29/09/2012 and reguarlize him in the AGM  for example held on 3.00 pm on 29/09/2012.........in the above case company not mentioned the above appointment in the notice of AGM........Ca company do the same or not?????
