Check Articles if it mentions any director as chairman. if not. Pass the following resolution at Board Meeting.
1. APPOINTMENT OF CHAIRMAN:
"RESOLVED THAT Mr. ___________ , Director of the Company be and is hereby appointed as Chairman of Board of Directors and shall preside as Chairman at every general meeting of the Company."
Please correct me If I am wrong, a chairman is elected (unanimously/by voting) for the proceedings of the meeting. My question is what powers reside with a chairman of board of directors?
Given the ambiguity expressed here, can someone please clarify.
